General Sales Conditions of Quetzales BV – Wholesale ​

1. Applicability

These general conditions apply to all offers, orders, deliveries, and agreements between Quetzales BV (hereinafter “the Seller”) and its customers (hereinafter “the Customer”), unless otherwise agreed in writing. By placing an order, the Customer acknowledges having read and accepted these conditions.

2. Offers and orders

  • All offers are non-binding and valid for 30 days, unless stated otherwise.
  • An order is only binding after written confirmation by the Seller.
  • Changes or cancellations by the Customer are only possible with the Seller’s written consent.

3. Prices and payments

  • All prices are exclusive of VAT and other charges, unless explicitly stated otherwise.
  • Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.
  • In the event of late payment, interest of 10% per year will be due automatically and without notice, as well as a lump-sum compensation of 10% of the invoice amount with a minimum of €75.

4. Delivery and risk

  • Delivery times are indicative and non-binding. Delays cannot give rise to compensation or termination of the agreement.
  • The risk passes to the Customer from the moment of delivery.
  • Complaints regarding visible defects must be reported in writing within 8 days after delivery.

5. Retention of title

All delivered goods remain the property of the Seller until full payment of the price (including costs and interests) by the Customer.

6. Warranty and liability

  • The Seller is only responsible for the conformity of the delivered goods as described in the agreement.
  • Any further liability for indirect damage, consequential damage, or loss of profit is excluded.
  • The Seller’s liability is in any case limited to the invoice amount of the relevant delivery.

7. Force majeure

The Seller is not liable for delays or non-performance due to force majeure (including but not limited to strike, fire, war, natural disasters, transport problems, or government measures).

8. Applicable law and competent court

All agreements are exclusively governed by Belgian law. Any disputes fall under the exclusive jurisdiction of the courts of the district of Dendermonde.
